1. Agreement to these terms
These Terms of Service are a binding agreement between you and Centinel Technologies LLC ("we", "us"), a limited liability company registered in the State of Arizona. They govern your access to and use of the Service Centinel platform, our website, and related services (together, the "Service").
By creating an account, accessing the Service, or joining our waitlist, you agree to these terms and to our Privacy Policy. If you are agreeing on behalf of a company, you confirm you have authority to bind that company, and "you" means that company.
If you do not agree, do not use the Service.
2. What Service Centinel is
Service Centinel is a multi-tenant, cloud-hosted platform for running field operations and projects — service requests, estimating, scheduling and dispatch, warehouse receiving and storage, field reporting, change orders, closeout, and related accounting records. It is provided as software-as-a-service; we do not deliver installation, consulting, or field labour.
3. Accounts, roles, and seats
- You must provide accurate registration information and keep it current.
- You are responsible for all activity under your account and for keeping credentials confidential. Tell us promptly at [email protected] if you suspect unauthorised access.
- Accounts are for named individuals. Do not share a single login between people.
- Your plan includes a number of active user seats. We may prevent invitations beyond that limit until seats are added.
- A company administrator controls roles and permissions within your organisation, and can deactivate users and change what each role may see and do.
- You must be at least 18 and legally able to enter into a contract.
4. Your data stays yours
You retain all right and title to the data you and your users put into the Service ("Customer Data"). You grant us a limited licence to host, process, transmit, and display Customer Data solely to provide the Service, to support you, and to meet our legal obligations.
We do not use your Customer Data to train artificial-intelligence models, and we do not sell it. See section 7 for how AI features process it.
You may export your data at any time while your subscription is active — see section 12.
5. Your responsibilities
Because the Service holds information about your employees and your clients, you are responsible for:
- Having a lawful basis to collect and process that information, and giving whatever notices the law requires where your people work.
- Employee location tracking. If you enable GPS check-in, you are responsible for notifying affected employees and obtaining any consent required in your jurisdiction. Some places regulate this specifically.
- Enabling the AI features knowingly, and not entering information into them that you are not permitted to share with a third-party processor.
- Configuring roles and permissions so people see only what they should.
- The accuracy of records you produce with the Service, including quotes, change orders, invoices, and payroll-relevant hours.
6. Acceptable use
You may not:
- Access, or try to access, another company's data.
- Probe, scan, or test the security of the Service except under a written agreement with us — see section 10 for how to report a vulnerability you find in good faith.
- Reverse engineer, decompile, or attempt to derive source code, except where law permits.
- Resell, sublicense, or provide the Service to third parties as a service bureau.
- Upload malware, or content that is unlawful, infringing, or harassing.
- Use automated means to scrape the Service, or exceed documented API rate limits.
- Interfere with or disrupt the Service or the infrastructure it runs on.
We may suspend access if we reasonably believe conduct threatens the Service or another customer's data. Where practical, we will tell you first.
7. AI features and their limits
The Service uses AI to summarise daily reports, extract data from vendor documents, assist with estimating, and answer questions. Using these features sends operational content to our AI provider for processing, as described in the Privacy Policy.
AI features are not a substitute for a qualified person's judgement about pricing, safety, employment, or legal matters. A company administrator may disable them.
8. Fees, renewal, and cancellation
Paid plans are billed in advance at the price and interval shown when you subscribe. Fees are exclusive of taxes, which you are responsible for except for taxes on our income.
Automatic renewal. Subscriptions renew automatically for successive periods of the same length unless cancelled before the renewal date. We will send a reminder to your account email at least 30 days before each renewal, stating the renewal date and the amount to be charged.
Cancellation. You may cancel at any time from your account billing settings, or by emailing [email protected]. Cancelling stops future renewals; your subscription continues until the end of the period you have already paid for. Cancelling is no harder than subscribing.
Refunds. Fees already paid are non-refundable except where the law requires otherwise. Cancelling stops future renewals; your access continues to the end of the period you have already paid for, so you keep what you bought.
Price changes. We may change prices for a renewal term by giving at least 30 days' notice. If you do not accept a change, cancel before the renewal date.
Non-payment. If fees are overdue we may suspend access after giving notice and a reasonable chance to pay.
Free trials run for the stated period. Unless you subscribe, access ends when the trial ends and trial data may be deleted after 90 days.
9. Availability and support
We aim to keep the Service available continuously, but we do not promise uninterrupted operation. We may perform maintenance, and will give advance notice of planned maintenance expected to cause significant disruption where we reasonably can.
Support is provided through the in-app support ticket system and at [email protected]. Any committed service levels apply only if stated in a separate written agreement.
The Service depends on third-party providers listed in the Privacy Policy, and interruptions in their services may affect it.
10. Intellectual property
We and our licensors own the Service, its software, design, and documentation, and all associated intellectual property rights. Subject to these terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable right to use the Service during your subscription. Nothing here transfers ownership. Our names and logos may not be used without written permission.
If you send us feedback or suggestions, we may use them without obligation or compensation. This does not give us any rights in your Customer Data.
Security research. We welcome good-faith vulnerability reports at [email protected]. We will not pursue legal action against researchers who report responsibly, avoid accessing or altering other customers' data, and give us reasonable time to fix an issue before disclosing it.
11. Confidentiality
Each party may receive information the other treats as confidential. The receiving party will protect it with at least reasonable care, use it only to perform under these terms, and not disclose it except to people who need it and are bound by similar obligations. This does not apply to information that is public through no fault of the receiver, was already known to them, is independently developed, or must be disclosed by law — in which case the receiver will give notice where legally permitted.
12. Term, termination, and what happens to your data
These terms apply while you have an account. Either party may terminate for material breach that is not cured within 30 days of written notice. We may terminate immediately for serious misuse under section 6 or for non-payment after notice.
Data export. You may export your data at any time while your account is active. For 30 days after termination we will, on written request, provide a machine-readable export of your Customer Data.
Data deletion. After that window we will delete your Customer Data from production systems within 60 days. Immediately before that deletion we make a disaster-recovery archive of your Customer Data, kept in storage only our platform administrators can access, solely so that data deleted in error can be restored; you cannot access it, it is not used for any other purpose, and we delete it 90 days after it is made. Encrypted backups are overwritten on the ordinary backup cycle. We may retain records we must keep by law, and anonymised or aggregated data that does not identify you.
Sections 4, 10, 11, and 13 to 18 survive termination.
13. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE OR COMPLETE.
Some jurisdictions do not allow certain exclusions, so some of the above may not apply to you.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply to either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or anything else that cannot be limited by law. They also do not limit your obligation to pay fees due.
15. Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Data, your use of the Service in breach of these terms or applicable law, or your failure to give employees or clients any notice or obtain any consent required — including for location tracking and AI processing. We will defend and indemnify you against third-party claims that the Service itself infringes their intellectual property rights, excluding claims arising from your Customer Data or from use in breach of these terms. The indemnified party will give prompt notice and reasonable cooperation.
16. Governing law and disputes
These terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts of Maricopa County, Arizona.
Before filing a claim, the parties will try in good faith to resolve the dispute informally for 30 days after written notice.
There is deliberately no binding-arbitration or class-action-waiver clause. Both parties here are businesses, disputes go to the courts named above, and a clause whose enforceability varies by state is more likely to be challenged than to help. Counsel may add one if they judge it worthwhile.
17. Changes to these terms
We may update these terms. For material changes we will give at least 30 days' notice by email or in the application before they take effect. Continuing to use the Service after that date means you accept the updated terms. If you do not accept them, stop using the Service and cancel your subscription; we will refund any prepaid fees for the unused remainder of your term.
18. General
These terms, together with the Privacy Policy and any order form or written agreement signed by both parties, are the entire agreement between us and supersede prior discussions. If a provision is held unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these terms without our written consent; we may assign them to an affiliate or in connection with a merger or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control. There are no third-party beneficiaries. Notices to us go to 1502 E Hadley St, Suite 150, Phoenix, AZ 85034 and [email protected]; notices to you go to your account email.
